A. Introduction. Welcome to billerswebsite.com! (PMRNC), a division of K&L Media, LLC. We start every new subscriber relationship with a agreement. The following agreement spells out what you can expect from us and what we expect from you. We intend this to be the legal equivalent of your signature on a written agreement and equally binding. Any changes to the subscriber agreement are effective and binding when they are published here. This agreement supersedes any agreement sent previously.B. Access and Services. Once your payment is received, a username and password will be distributed to the e-mail address listed on your subscription order. A copy of this agreement will be present as well. This password will allow you full and unlimited access to the subscriber area of billerswebsite.com for a period of one year from the date of activation. Your expiration date will be noted on the e-mail as well. Your username and password are limited to ONE PERSON/ONE SUBSCRIBER. Companies with 2 or more persons must purchase our corporate subscription to gain individual access. Password Sharing is STRICTLY PROHIBITED AND MONITORED! We reserve the right to revoke or suspend username and password if a violation of this agreement has been made. All subscriptions are NON-transferable.Lost Passwords - If you lose your username and/or passwor d, we must receive an e-mail communication from the e-mail address you used to subscribe to our services. It is extremely important that you notify us of any e-mail address changes PRIOR to making the e-mail change! Unless we are notified before the e-mail change, new username and/or passwords will NOT be given to any other e-mail address under ANY circumstances. If you fail to notify us of an e-mail change and you lose your username/password, you must purchase an additional subscription. To complete a lost username/password request, visit the Lost Password Request form on the main site.C. Fees and Payment. Subscriptions are priced for one full year of unlimited access to the site. All subscriptions are non-refundable. Subscription prices are subject to change at our discretion. All Sales are final. Renewal discount rates are available at the current price of $59.99, but can be scheduled for change at our discretion. In order to qualify for the renewal discount, you MUST renew your subscription prior to midnight on your subscription expiration date (noted in your welcome e-mail). You will also receive a notification 28 to 30 days prior to your expiration. D. Rules. You agree to be bound by certain rules, which are important for the proper use of the online site. Your failure to follow these rules, whether listed below in the agreement or in bulletins posted at various points in the system, may result in termination of your service and no refunds will be issued. First, do not tell others your password or let your account be used by anyone except yourself. Second, our site includes an online bulletin board and chat room. While you should feel free to express yourself, you should respect other users of the system and not do anything to attack or injure others. Spamming, solicitation and harvesting of e-mails is strictly forbidden. Violation of these rules will result in termination of your subscription and we reserve the right to do so without prior notice.E. Privacy Considerations. PMRNC is owned by Linda Walker, dba Practice Management Resources & Networking Community (PMRNC), A Division of K&L Media, LLC. We will not share any of the information you give to us with ANYONE. Your right to privacy is important to us. Upon submission of your business information for your billing service, you will be asked for permission to post this to our billing center page. Just as we will respect your privacy, spamming of our discussion forum or any of our subscribers is strictly PROHIBITED. We will not tolerate our subscriber names being harvested and will take all complaints of spam and unsolicited advertisements of services and/or goods seriously! A violation of this section will result in immediate termination of all your subscription services and qualified discounts and services.
G. Covenant Not to Compete. Subscribers may not engage directly or indirectly, either personally or as an employee, associate partner, manager, agent or otherwise, or by means of any corporate or other device in the Internet Resource and education of medical billers, nor shall any subscriber solicit orders, directly or indirectly, from any customers, vendors or subscribers or it's successor for such products and information as are sold or offered by PMRNC or its successors for the duration of the subscribers subscription with PMRNC . All information contained within the subscriber area is copyright © PMRNC. PMRNC reserves the right to terminate any subscriber found to be in direct competition with PMRNC.H. Limitation of Liability. You must bear the risk of any liability relating to your use of our system. We would not be able to afford to operate this system if every online subscriber held us accountable for every wrongful action. ACCORDINGLY, YOUR USE OF THE ONLINE SYSTEM IS ENTIRELY AT YOUR SOLE RISK. NEITHER PMRNC, LINDA WALKER, K&L MEDIA, LLC, NOR BILLERSWEBSITE.COM, WILL BE RESPONSIBLE TO YOU OR ANY THIRD PARTIES FOR ANY DIRECT OR INDIRECT, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES OR LOSSES YOU MAY INCUR IN CONNECTING TO OUR SITE. I. Indemnity. You shall defend and indemnify us and hold us harmless from and against any and all claims, proceedings, damages, injuries, liabilities, losses, costs and expenses (including reasonable attorneys' fees), relating to any acts by you or materials or information transmitted by you in connection with our system, leading wholly or partially to claims against us or our system by other subscribers or third parties, regardless of the type of claim or the nature of the cause of action. It is your sole responsibility to check any and all companies, products and/or documents you use for your business.
L. Miscellaneous. This Agreement shall be governed by and construed in accordance with the laws of the state of New York, without regard to the conflict of laws provisions thereof. The sole jurisdiction and venue for actions related to the subject matter hereof shall be the State of New York and U.S. federal courts having within their jurisdiction the location of PMRNC's , a division of K&L Media, LLC's principal place of business. In any action or proceeding to enforce rights under this Agreement, the prevailing party will be entitled to recover costs and attorneys fees.
